Overview and metadata sections

Geoffrey C. Hazard, Jr. graduated from Swarthmore College in 1953 and received his LL.B. from Columbia University in 1954. Widely considered an authority on legal ethics, Hazard teaches courses in civil procedure, federal jurisdiction, legal ethics, and professional responsibility at the University of Pennsylvania Law School.

Hazard was Director of the American Law Institute from 1984 to 1999. During his tenure, the ALI worked on many restatement and codification projects, including a Restatement of the Law Governing Lawyers and revisions to the Uniform Commercial Code.

The collection includes correspondence, meeting materials, reports, subject files, and other materials regarding administrative and fundraising matters; Council meetings; ALI committees; ALI-ABA continuing legal education courses; areas of the law analyzed in the Second and Third Restatements of the Law; codification projects, including the Uniform Commercial Code, for which Hazard served on the Permanent Editorial Board; other studies commissioned by ALI, including those on transnational insolvency, family law, complex litigation, corporate governance, and taxation; meetings Hazard was invited to as Director; and work with the American Bar Association, particularly regarding legal ethics.

The bulk of this collection is arranged according to major projects undertaken by the American Law Institute while Hazard was Director. With the exception of the tax-related projects, which have been combined into one series, each of these projects is its own series. Most minor, proposed, and discontinued projects can be located in the Subject Files series.

Drafts, correspondence, reports, Permanent Editorial Board commentaries, minutes, meeting materials, and related materials regarding Hazard's activity as a member of the Permanent Editorial Board, which was originally established in 1961 to provide advice, recommendations, and commentary on the Uniform Commercial Code. The Uniform Commercial Code was first promulgated in 1952 in an effort to harmonize various laws related to commercial transactions and sales in the United States of America. The revision and enhancement of the Uniform Commercial Code remains an ongoing joint project between the ALI and the National Conference of Commissioners on Uniform State Laws. As Director of the ALI, Hazard was automatically appointed to the Permanent Editorial Board.
